Terms of Service

The agreement between you and Brewcode Technologies Private Limited when you use Eminex.

1. Agreement

These Terms of Service ("Terms") are a legally binding agreement between you ("User", "you" or "your") and Brewcode Technologies Private Limited, a company incorporated under the Companies Act, 2013, with its registered office at #198, CMH Road, 2nd Floor, Desk No. 269, Indiranagar, Bangalore, India – 560038 ("Brewcode", "we", "us" or "our"), the developer and operator of Eminex (the "Service").

By creating an account, accessing or using Eminex, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, Cookie Policy and Refund Policy, which form part of these Terms. If you do not agree, you must not use the Service.

If you use Eminex on behalf of an organisation, you confirm that you have the authority to bind that organisation to these Terms.

2. Description of the Service

Eminex is an AI marketing platform in which AI agents work on your brand's visibility and growth. Its capabilities include:

  • Measuring how your brand appears in AI assistants, search engines, maps and social platforms
  • Website SEO audits, and applying fixes to your website when you approve them
  • Drafting articles, social posts, emails and ad creative, and publishing what you approve
  • Managing Google Business Profile listings and reviews
  • Building and running advertising campaigns on ad accounts you connect
  • Email campaigns, lead capture and automated follow-up
  • Reports, recommendations and an optional Autopilot mode

3. Changes to features

The Service is provided on an "as is" and "as available" basis. We may add, change, suspend or discontinue features, and will give reasonable notice where a change materially reduces what you have paid for.

4. Eligibility and your account

To use Eminex:

  • You must be at least 18 years old.
  • You must give accurate, complete and current registration details, including a valid email address and, where asked, a mobile number that we verify by SMS.
  • You are responsible for keeping your login details confidential and for all activity under your account, whether or not you authorised it.
  • You must tell us immediately at support@eminex.ai if you suspect unauthorised access to your account.
  • You may not create multiple accounts to get around plan limits or to evade a suspension or termination.

5. Connected platforms and your responsibilities

Eminex does its work through accounts you connect: your website or CMS, Google services (Search Console, Analytics, Business Profile, Drive), social profiles, ad accounts and email sending. By connecting an account you confirm that:

  • You own it or are authorised to connect it and to let Eminex act on it.
  • Connecting it does not breach any contract, platform policy, data protection law or third-party right.
  • Where you give us API keys or passwords, they carry only the permissions Eminex needs.
  • You will revoke or rotate credentials on the platform itself if you believe they have been compromised.

6. How we treat connected credentials

Credentials and access tokens you connect are encrypted with AES-256-GCM using a key unique to your organisation. They are decrypted only when Eminex acts for you, and are never shown in our interface or written to logs. You can disconnect any integration at any time, which ends our access to it.

The security of the platforms themselves is the responsibility of their operators. We are not responsible for outages, data loss or security incidents on a platform you connect.

7. Google data

When you connect Google, Eminex asks for access to Search Console, Google Analytics (read-only), Google Business Profile and Google Drive (read-only, to import brand files you choose). Eminex's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

8. Approvals, autonomy and ad spend

You decide how much Eminex does on its own. By default, content is published and fixes are applied only after you approve them. If you choose a more autonomous setting, you authorise Eminex to act within the limits you set.

Money spent on advertising is charged by the ad platform (for example Meta or Google) to your ad account, not by us. Eminex will not raise a budget above the caps you set, but you remain responsible for the campaigns you launch or authorise and for all charges the ad platform makes.

9. AI-generated content

Content, recommendations and analysis produced by Eminex are generated by AI and may be inaccurate, incomplete or unsuitable for your purpose. You are responsible for reviewing anything before you approve it for publication or action, and for ensuring that what you publish is accurate, lawful and yours to use. We do not guarantee any ranking, traffic, visibility or sales result.

10. Websites and platforms we support

Eminex has built-in connections for ten website platforms: WordPress, WooCommerce, Shopify, Webflow, Ghost, Contentful, Sanity, Strapi, Magento and BigCommerce.

A site built on anything else can connect through our script tag or server-side API, which covers on-page work such as titles, descriptions and structured data. Features that rely on a platform's own tools are available only on the ten platforms listed. Building a new connector is not part of any plan unless we agree it with you in writing.

11. Your content and data

You keep full ownership of everything you supply and everything Eminex generates for you. We claim no intellectual property rights over it.

You grant Brewcode a limited, non-exclusive, royalty-free licence to store, process, transmit and publish your content solely to provide the Service to you. This licence ends when you delete the content or your account is deleted.

We do not sell your data, and we do not use your content to train AI models. See our Privacy Policy for details.

12. Plans and credits

Eminex is paid for with credits. Each paid plan includes a monthly allowance of credits, and every module is included at no extra cost. Current plans, prices and credit allowances are shown on our pricing page and in the app, and may change with notice.

  • New workspaces start on a free, limited Sandbox plan. No payment is taken until you choose a paid plan.
  • Plan credits are renewed each billing month; unused plan credits do not carry over to the next month.
  • Top-up credits you buy separately do not expire at month end and stay available while your account is active.

13. Billing and auto-renewal

Paid plans are billed monthly in advance through our payment processor, Stripe. Subscriptions renew automatically at the end of each billing month until cancelled, and you authorise us to charge your payment method on file for each renewal and for any top-ups you buy.

If a payment fails, we will try to collect it again; continued failure may lead to your account being moved to a lower plan or suspended.

You can change or cancel your plan at any time from Settings → Billing → Manage billing. A cancellation stops future renewals; you keep your paid plan until the end of the month you have paid for.

14. No refunds

ALL FEES PAID FOR EMINEX ARE NON-REFUNDABLE, including when you cancel, change plans, are dissatisfied with the Service, experience technical issues, or do not use the Service during a paid period. Genuine billing errors are corrected as described in our Refund Policy, which sets out the details.

15. Acceptable use

You agree to use Eminex only lawfully and in line with these Terms. You must not:

  • Publish, or ask Eminex to generate, unlawful, deceptive, defamatory, obscene or infringing content.
  • Impersonate another brand or person, or post fake reviews or fake engagement.
  • Use the Service for spam, phishing, fraud or other malicious activity, or send email to people who have not agreed to receive it.
  • Connect accounts, websites or data you are not authorised to use.
  • Breach the rules of any platform you publish or advertise on through Eminex.
  • Reverse-engineer, decompile or try to extract the source code of Eminex.
  • Probe, scan or test the vulnerability of our systems, or try to gain unauthorised access to any part of the Service or another customer's data.
  • Use bots, scrapers or other automated means to access the Service beyond normal use of our API.
  • Resell, sublicense or give third parties access to the Service without our written consent.
  • Share your login details, or get around plan limits by technical means or multiple accounts.
  • Use the Service in a way that could overload, damage or impair our infrastructure.

16. Consequences of misuse

Breaching the acceptable use rules may lead to immediate suspension or termination of your account without notice and without refund.

17. Teams and workspaces

The account owner manages team members and their roles and is responsible for their actions in the workspace and for their compliance with these Terms. Removing a team member revokes their access immediately. The number of team members and brands is limited by your plan.

18. Intellectual property

Eminex, its name, logo, design, software, agents, algorithms and related technology are owned exclusively by Brewcode Technologies Private Limited and are protected by Indian and international intellectual property laws. Nothing in these Terms gives you any right to use our trademarks or technology beyond what is needed to use the Service.

If you send us feedback or suggestions, you grant Brewcode a perpetual, irrevocable, worldwide, royalty-free licence to use them in the Service without any obligation to you.

19. Third-party services

Eminex works with third-party services, including website platforms, Google, social networks, ad platforms, Stripe and AI model providers. Your use of them is also subject to their own terms and privacy policies. We do not control them and are not liable for their availability, their data practices, or any loss caused by an outage, a change to their API or a change to their terms. A third-party integration may change or stop working, and we do not guarantee that any integration will remain available.

20. Service availability and maintenance

We work to keep Eminex available but do not guarantee uninterrupted or error-free access. We will give advance notice of planned maintenance where practicable, and may suspend the Service for emergency maintenance without notice. Downtime does not entitle you to a refund or credit.

21. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EMINEX IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY. BREWCODE TECHNOLOGIES PRIVATE LIMITED DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT AND UNINTERRUPTED AVAILABILITY.

We do not warrant that the Service will meet your requirements, that AI-generated content, recommendations or analysis will be accurate or complete, that errors will be corrected, or that any ranking, traffic or revenue outcome will be achieved.

22. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BREWCODE TECHNOLOGIES PRIVATE LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS AND AFFILIATES ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, RANKINGS, DATA OR GOODWILL, OR BUSINESS INTERRUPTION.

Our total aggregate liability for all claims arising out of or relating to these Terms or the Service is limited to the total amount you paid to Brewcode in the three (3) months immediately before the event giving rise to the claim.

We are not liable for: (a) content you approved for publication; (b) ad spend charged by an ad platform; (c) loss or damage on a platform you connected; (d) third-party outages or API changes; (e) unauthorised access caused by your failure to keep your login secure; or (f) inaccuracies in AI-generated content or analysis. Where the law of your jurisdiction does not allow these limits, our liability is limited to the minimum extent the law permits.

23. Indemnification

You agree to indemnify, defend and hold harmless Brewcode Technologies Private Limited, its directors, officers, employees and agents against any claims, liabilities, damages, losses, costs or expenses (including reasonable legal fees) arising from: your breach of these Terms; your use of the Service, including any account or platform you connect; content you approve or publish; campaigns you launch or authorise; or your breach of any law or third-party right.

24. Termination

You may cancel your subscription at any time from Settings → Billing, and ask us to delete your account by emailing support@eminex.ai from the address on the account. Cancelling stops future billing but does not entitle you to a refund.

We may suspend or terminate your account, with or without notice, if you breach these Terms, if the account is used for fraudulent, illegal or abusive activity, if fees are unpaid, if the law or a court requires it, or if we discontinue the Service. For material breaches, termination is immediate and without refund; otherwise we give reasonable notice.

On termination your access ends, integration access is revoked, and your data is deleted as described in our Privacy Policy. Export anything you need beforehand. Provisions that by their nature should survive termination continue to apply.

25. Privacy

How we collect and use personal information is described in our Privacy Policy, which forms part of these Terms.

26. Governing law and disputes

These Terms are governed by the laws of the Republic of India, including the Information Technology Act, 2000, the Indian Contract Act, 1872 and the Consumer Protection Act, 2019, without regard to conflict-of-law principles.

If a dispute arises, the parties will first try to resolve it in good faith, starting with written notice to support@eminex.ai. If it is not resolved within 30 days, either party may refer it to arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by mutual agreement, conducted in English and seated in Bengaluru, Karnataka, India.

Subject to that arbitration clause, the courts of Bengaluru, Karnataka, India have exclusive jurisdiction.

27. General

  • Entire agreement: these Terms, with the Privacy Policy, Cookie Policy and Refund Policy, are the entire agreement between you and Brewcode about the Service.
  • Severability: if any provision is found invalid, the rest remain in force.
  • Waiver: not enforcing a provision is not a waiver of it.
  • Assignment: you may not assign your rights without our written consent; we may assign ours to a successor.
  • Notices: we contact you at the email address on your account; notices to us go to support@eminex.ai.
  • Force majeure: we are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, government action, power failures and internet or cloud-provider outages.

28. Changes to these Terms

We may update these Terms. We will tell you about material changes by email and on our website at least 30 days before they take effect. Continuing to use Eminex after that date means you accept the updated Terms; if you do not agree, stop using the Service before then.
